Terms and Conditions of Sale (B2B – High-Risk Equipment)

These Terms and Conditions of Sale (“Terms”) govern all sales of products (“Products”) by Skinsetics LLC (“Company,” “we,” “us,” or “our”) to any purchaser (“Buyer” or “you”). These Terms apply to all orders placed through this website or otherwise.

1. B2B-ONLY SALES / NO CONSUMERS

Products are sold exclusively to business entities for commercial, industrial, or professional use.

By placing an order, Buyer represents and warrants that:

  • Buyer is not a consumer;

  • Buyer is purchasing on behalf of a business entity; and

  • Products will not be used for personal, household, or consumer purposes.

Company does not knowingly sell to consumers.

2. ACCEPTANCE OF TERMS

By placing an order, submitting payment, or accepting delivery, Buyer:

  • Acknowledges it has read and understood these Terms;

  • Agrees to be legally bound by them; and

  • Agrees these Terms supersede any conflicting buyer terms.

Any additional or conflicting terms proposed by Buyer are rejected unless expressly agreed to in writing by Company.

3. INCORPORATION OF POLICIES

The following policies are incorporated by reference and form part of this agreement:

  • Return, Refund, and Warranty Policy

In the event of a conflict, these Terms control.

4. HIGH-RISK EQUIPMENT ACKNOWLEDGMENT

Buyer acknowledges that the Products:

  • May involve inherent risks, including risk of injury, death, property damage, or business interruption;

  • Require proper training, installation, operation, maintenance, and safety procedures; and

  • Are intended for use only by qualified personnel.

Buyer assumes all responsibility and risk associated with use, installation, operation, storage, and maintenance of the Products.

5. NO PROFESSIONAL OR SAFETY ADVICE

Company does not provide engineering, safety, legal, regulatory, or compliance advice.

Buyer is solely responsible for:

  • Determining suitability of Products for its intended use;

  • Compliance with all applicable laws, regulations, codes, and safety standards;

  • Providing proper warnings, instructions, and training to its employees or users.

6. PRICING, TAXES, AND PAYMENT

All prices are exclusive of:

  • Sales, use, VAT, excise, or similar taxes;

  • Duties, tariffs, shipping, and insurance.

Buyer is responsible for all applicable taxes unless Buyer provides a valid exemption certificate.

Payment terms are as stated at checkout or invoice. Orders may be suspended or canceled for nonpayment.

7. SHIPPING, DELIVERY, AND RISK OF LOSS

Delivery dates are estimates only.

Unless otherwise agreed in writing:

  • Title and risk of loss pass to Buyer upon shipment from Company’s facility or manufacturer.

  • Company is not liable for carrier delays or damage.

8. NO RETURNS / ALL SALES FINAL

ALL SALES ARE FINAL.

Returns, refunds, or cancellations are not permitted, except as expressly stated in the Return, Refund, and Warranty Policy.

9. LIMITED WARRANTY & EXCLUSIVE REMEDY

Products are subject only to the limited two (2) year manufacturer’s warranty described in the Return, Refund, and Warranty Policy.

REPAIR OR REPLACEMENT IS THE SOLE AND EXCLUSIVE REMEDY.
Refunds are not provided.

10. DISCLAIMER OF WARRANTIES (UCC §2-316)

TO THE MAXIMUM EXTENT PERMITTED BY WYOMING LAW:

  • PRODUCTS ARE SOLD “AS IS” AND “WITH ALL FAULTS.”

  • ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED.

  • IF ANY IMPLIED WARRANTIES CANNOT BE DISCLAIMED, THEY ARE LIMITED TO TWO (2) YEARS.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

  • THIS INCLUDES LOSS OF PROFITS, LOSS OF BUSINESS, DOWNTIME, OR PERSONAL INJURY CLAIMS ARISING FROM USE OF THE PRODUCT;

  • COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE PRODUCT.

12. INDEMNIFICATION

Buyer agrees to defend, indemnify, and hold harmless Company, its officers, employees, and agents from any claims, damages, losses, liabilities, or expenses arising from:

  • Buyer’s use or misuse of the Products;

  • Failure to follow safety instructions or applicable laws;

  • Injury, death, or property damage caused by the Products after delivery.

13. FORCE MAJEURE

Company shall not be liable for failure or delay caused by events beyond its reasonable control, including acts of God, labor disputes, supply chain disruptions, or governmental actions.

14. NO CHARGEBACKS

Buyer agrees not to initiate chargebacks or payment disputes for matters governed by these Terms and shall provide written notice and an opportunity to cure.

15. GOVERNING LAW AND VENUE

These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Exclusive venue for any dispute shall be the state or federal courts located in Wyoming.

16. SEVERABILITY

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

17. ENTIRE AGREEMENT

These Terms, together with incorporated policies, constitute the entire agreement between Company and Buyer and supersede all prior agreements or understandings.
